Global investors who allocate capital to emerging market equities are once again confronting the operational and regulatory risks of the Brazilian market. A series of leaked text messages has exposed a coordinated effort to artificially inflate the share price of a prominent Brazilian pharmaceutical company, triggering demands for a formal investigation by the country's securities regulator.

According to an October 21, 2026, report by Brazilian financial news outlet NeoFeed, leaked messages from Daniel Vorcaro—the former controlling shareholder of Banco Master who was arrested by federal police in late 2025—revealed a deliberate campaign to drive up the market value of Biomm S.A., a major insulin supplier to the Brazilian government. In the messages, which were originally uncovered by O Estado de S. Paulo, Vorcaro explicitly outlined plans to coordinate positive media coverage to "make this stock boom" and push Biomm’s market capitalization to R$ 3 billion.

The coordinated media push took place in February 2024. During a five-day trading window between February 20 and February 26, 2024, Biomm’s shares surged by 98.12% on the B3 exchange in São Paulo, rising from R$ 5.84 to R$ 11.57. This sudden doubling of the company's valuation, which added R$ 726.8 million in market value, occurred without the disclosure of any material facts or strategic updates by the company. Daily trading volume also skyrocketed from just 20,900 shares to over 311,000 shares during the same period.

The Regulatory Backlash

Legal and financial experts in Brazil are now calling on the Securities and Exchange Commission of Brazil (CVM), the country's primary financial regulator, to thoroughly investigate the trading patterns for market manipulation. The CVM is already scrutinizing Vorcaro's broader financial network, which allegedly used structured loans from Banco Master to fund coordinated, high-volume stock purchases in target companies before dumping them at peak prices.

While Biomm has denied any involvement or prior knowledge of the coordinated media strategy, the scandal highlights the persistent governance risks that foreign investors face when navigating mid-cap equities in Latin America. The fallout from Banco Master's extrajudicial liquidation by the Central Bank of Brazil in late 2025 continues to reverberate through the local financial system, exposing how easily concentrated ownership and media manipulation can distort asset prices.

For retail investors holding broad emerging markets funds, this regulatory probe serves as a reminder of the compliance and volatility risks inherent in localized foreign equities. While Biomm S.A. is listed locally in Brazil under the ticker BIOM3, it is not directly listed on US exchanges. However, investors holding the iShares MSCI Brazil ETF, which tracks a broad basket of Brazilian equities, are exposed to the regulatory climate overseen by the CVM as it attempts to clean up local market practices.
